Project Overview

The primary goal of Bluestar Flagship Fund is to provide investors with regular distributions and equity growth on a risk adjusted basis. This is accomplished through a hand-picked portfolio of public and private investments from companies predominantly based in North America. We provide investors unique access to: solid equity growth;regular quarterly distributions; an exit kicker; and rollover provisions into the main fund.

The Fund has four categories of investment. Marketable securities, private company investing, real estate investing and public company investing.

Marketable securities are cash and cash equivalents. The Fund endeavors to maintain 25% of the Class B partnership capital invested in this category.

Investing in private companies are those in a control position in a private corporation that fit certain criteria, not the least of which are:

1. The business is profitable, or demonstrates the ability to pay preferred dividends or interest.

2. The business has been in operation for over ten years and demonstrated a clear competitive advantage.

3. The business is asset-light and provides services to its customers.

This is as opposed to manufacturing or other businesses that require annual investments into heavy machinery in order to maintain revenues.

Current investment focus will be in the professional services industry, financial services and other business to business offerings that may include software.

Real estate investments are typically longer term, in stable, secure positions. Liquidity is ensured through either partnership with other institutional equity investors or taking positions in properties where the Fund’s position can be bought out through mortgage debt. The latter requires low overall leverage on the properties relative to the appraised value.

Public investing is focused exclusively on spin-offs, mergers and acquisitions, and other corporate event catalysts where it can clearly be seen that the transaction has created a mispricing of the security being purchased. The liquidity of the security is valued, and therefore, typically are involved in companies with significant trading volume and high market capitalization.

Issuer Overview

Bluestar Equity Inc. (“Bluestar”) is a privately held investment holding company and single-family office that owns and operates a portfolio of professional service and investment businesses across Canada and the United States.

Through its operating platform, Bluestar Professional Services Inc., Bluestar integrates legal, accounting, consulting, wealth-management, insurance, and fund-management capabilities within a unified strategic framework. This structure allows Bluestar to manage the entire investment lifecycle in-house—from origination and due diligence to structuring, administration, and ongoing portfolio management—with a level of control and efficiency rarely achieved outside of large institutional environments.

Bluestar’s professional subsidiaries maintain deep, trusted relationships with business owners, entrepreneurs, and investors across multiple sectors. These relationships generate a steady pipeline of proprietary opportunities for Bluestar’s investment vehicles, including the Bluestar Flagship Funds. By combining professional advisory insight with direct-investment capability, Bluestar is able to identify strong middle-market companies early, structure investments effectively, and actively support management teams post-investment.

The company’s offices span major Canadian business centres and a growing presence in Florida, reflecting both its domestic reach and its cross-border investment perspective. This footprint enables Bluestar to serve clients and portfolio companies with regional proximity while maintaining centralized oversight and compliance across all jurisdictions.

A defining feature of Bluestar’s model is its ability to leverage internal professional expertise at below-market cost. Legal, accounting, and advisory functions that most funds must outsource are performed internally by Bluestar Professional Services firms under common strategic direction. This vertical integration keeps more investor capital working within the fund, enhances transparency, and aligns interests between management and investors.

By uniting professional services and private-market investing under one platform, Bluestar delivers the sophistication of an institutional investment group with the flexibility, alignment, and personal accountability of a family office. The result is a durable competitive advantage—measured not only in cost efficiency and access to proprietary deal flow, but also in the long-term relationships and real-world results that define Bluestar’s investment approach.
