Key Accountabilities
Working alongside the Director of Operations & Compliance as well as the Founder & CEO, the Parvis Corporate & Securities Paralegal will manage and submit ongoing filings and disclosures for both our regulated entity (Exempt Market Dealer) and public entity (TSXV:PVIS). You'll support the drafting and review of investment agreements such as subscription agreements and offering memorandums for various investment projects. Your primary mandate will be to ensure Parvis responds and reports in line with its regulatory obligations as well maintain detailed records of these activities.
Requirements
- Preparing drafts of various documents including reports, resolutions, articles of incorporation, articles of amendment, and other related materials;
- Drafting investor agreements as subscription agreements
- Reviewing & assessing 3rd party Offering Memorandums
- Extensive use of the System for Electronic Document Analysis and Retrieval ("SEDAR") at the request of lawyers and clients of the firm, including acting as the Firm's subject matter expert and primary administrator of SEDAR filings;
- Extensive use of the System for Electronic Disclosure by Insiders ("SEDI") at the request of lawyers and clients of the firm, including acting as the Firm's subject matter expert and primary administrator of SEDI filings.
- Preparing certain correspondence to the Toronto Stock Exchange and the TSX Venture Exchange;
- Assisting in the preparation and filing of certain continuous disclosure documents;
- Assisting in the preparation and filing of materials for prospectus offerings and brokered and non-brokered private placement financings as required under NI 41-101, NI 45-106 and TSX/TSXV policies;
- Liaising with clients, lawyers and regulators to obtain information and take instruction, and reporting on status of matters.
Responsibilities
- Minimum 2 years' experience as a Corporate or Securities Legal Assistant;
- Comprehensive knowledge of SEDAR and SEDI;
- Proficiency working with the National Registration Database (NRD);
- Advanced legal software skills (MS Office, Closing Folders, DMS, etc.);
- Ability to respond to urgent requests outside of normal business hours.
